Terms And Conditions
This Terms of Use (this Agreement) shall apply in relation to your use of the Site (www.shypr.io). This Terms of Use is an agreement between you (“User”) and Shypr (“we”, “us”, etc.). If you click “Log in”, “Submit”, “Confirm” or “Register” on the Site, it shall be assumed that you have read and agreed to this Agreement. If you do not agree with this Agreement or any of its provisions, please discontinue the use of the service.
- Scope of this Agreement
1.1 This Agreement is an effective contract between you and Shypr.
1.2 Shypr may change or modify this Agreement from time to time. When Shypr makes changes or modifications to this Agreement, Shypr will announce it on the Site. You should check the Site on a regular basis to learn about any changes to this Agreement.
1.3 If you continue to use the Site after the change/modification, it shall be assumed that you have fully read, understood, and accepted the change/modification of this Agreement; You should stop using the Site if you do not agree with the change/modification.
- User
2.1 In the case of a natural person, you confirm you can conduct civil conduct before registering a Shypr account. If not, stop registering or using the Site; otherwise, you and your guardian will be liable.
2.2 In the case that you are a legal entity, you confirm that you have been legally established and have the qualifications to conduct business. You confirm that you will enter into this Agreement without violating any laws and regulations.
- Account and Password
3.1 To access the Site and use its services, you must register an account. You must provide accurate and complete information (your name/company name/Business License, Email address, phone number, country, etc.) and you will be solely responsible for damage or consequence arising from false or inaccurate information.
3.2 If you set up a user name for your account, make sure it doesn’t violate laws and regulations, or else Shypr can cancel your account. After registration, if it is found that your account was registered with false information or there was immoral or illegal information provided, Shypr can demand you to correct the information and suspend using your account.
3.3 If there’s evidence or Shypr has reason to believe that a user has improper registration or multiple Shypr accounts, Shypr can cancel accounts, refuse to provide services, and end this Agreement. If a user causes losses to Shypr or related parties, the user should also be liable.
- Account management
4.1 If you’ve already registered a Shypr account, you can use your Shypr username and password to log in.
4.2 You understand and agree that Shypr will not ask you for your password. Therefore, it is recommended that you keep your Shypr account and password to yourself. You will be solely responsible for any losses or consequences resulting from your account disclosure to any third party.
4.3 If your account information is lost or forgotten, please provide relevant information to us for verification and make sure the provided information is legal, true, accurate, and valid. Otherwise, we cannot help you to reset your password.
4.4 If the following situations exist, we have the right to cancel your account and stop providing services: (1) You have seriously violated your service contract; (2) You fail to use real-name authentication or qualify with a real-name authentication device under Article 4.5.
4.5 You must complete real-name authentication or qualification authentication to access our site or use the Service normally.
4.6 For the better use of our services, you irrevocably authorize us to collect your personal information, including your or your legal representative’s name, ID number, mobile phone number, email address, contact address, and bank account number. We have the right to provide the aforesaid information to an electronic signature agency, and As a third party, the electronic signature agency or its cooperative digital certification agency could handle and issue a digital certificate for you to sign the legal documents related to the transactions you make on our Site.
4.7 You may transfer or grant your account only if there is a written law, a judicial ruling, or with our consent. In such a case, we have the right to require you, the assignee, and the recipient, to provide qualified documents. Upon transfer of your account, your rights and obligations under the account and this Agreement shall be transferred together.
4.8 You can cancel your account by contacting us. Your account may be directly related to whether you can use our services normally, and account cancelation is not recoverable. Therefore, to protect the security of your account and all services related to your account, after you submit an account cancelation application to us, we will check your account and verify your identity. If you agree to the following conditions, we will cancel your account:
(1) You apply for the cancelation of your account and cancel it according to our procedures;
(2) You will remain responsible for your use of the Site and our services prior to canceling your account, and we may continue to save your information prior to canceling your account.
(3) Your cancelation does not affect the performance of the relevant agreements you have signed with us;
(4) After successful cancelation, account information, subject information, transaction records, relevant rights, interests, etc. cannot be recovered or provided.
- Services
5.1 After registration, you may not necessarily enjoy all the services shown on the Site, and the information on the Site does not commit to the service. The specific services provided to you are subject to the service agreement(s) you and Shypr signed.
5.2 The services and information on the Site are provided “as is” with no warranties. Shypr disclaims all warranties.
5.3 Shypr is not liable for damage caused by network equipment maintenance, power failure, strike, riot, fire, flood, storm, explosion, war, government action, order of judicial administration authority, or failure of servers, computers, or communications.
5.4 The Site may obtain content that doesn’t belong to Shypr, and Shypr is responsible for it. Shypr can review it to determine if it’s illegal or violates Shypr policies; if there’s a reason to believe it’s illegal or violates Shypr policies. Shypr can either delete it or refuse to show it.
- Disclaimer
6.1 You understand that Shypr may change, interrupt, or restrict the Site’s functions without prior notice.
6.2 Shypr won’t be responsible for Site interruption due to the following:
(1) Shypr may suspend any part of the Site for maintenance, upgrade, or other reasons without prior notice.
(2) Force majeure, such as typhoon, earthquake, flood, lightning, or terrorist attack;
(3) Your computer hardware and software malfunction;
6.3 Shypr will restore the website, even though the agreement says otherwise.
- Intellectual property
Unless Shypr writes, all rights to products, technologies, software, programs, data, text, images, pictures, audios, videos, charts, colors, layouts, electronic documents, and any information, content, and materials shown to you on the Site, including Copyright (software copyright), trademark rights, patent rights, trade secrets, and all other related rights, are owned by Shypr. You and anyone may not use it without authorization, including copying, spreading, displaying, mirroring, and downloading any content on the Site. Accessing or using the Site does not give you any rights to any information, content, or data on the Site.
- Termination
8.1 You can stop using the Site under this Agreement:
(1) by stopping use;
(2) when Shypr changes and/or modifies this Agreement;
(3) when you clearly express to Shypr that you will not continue to use the Site.
In the following circumstances, Shypr has the right to notify you to conclude this Agreement:
(1) You violate the provisions of the relevant laws and regulations of this Agreement or other relevant agreements signed by you and Shypr;
(2) You have committed fraud, misappropriation of other people’s accounts, making false transactions, suspected of smuggling crimes, or taking improper means for profit. Or you have committed acts that endanger the security of others’ transactions or account security;
(3) Misuse of the services provided by Shypr;
(4) According to the relevant provisions of this Agreement, your account has been canceled by Shypr
(5) Other circumstances that Shypr has reason to conclude this Agreement.
8.3 This Agreement doesn’t affect orders you’ve already processed or other agreements you’ve signed with Shypr.
- Notice
9.1 Shypr will notify you by a website message or by contacting you (via email, phone, or other means) (including your contact information). Such notices may have a significant impact on your rights and obligations, so please pay attention to them in time. If your contact information changes, you are obliged to update it in time.
9.2 For any disputes arising from this Agreement, you agree that the judiciary (including courts and arbitration institutions) can send legal documents to you through the contact information you provide.
9.3 Make sure the contact information you provide is accurate, effective, and updated in real time. If the information is inaccurate or not updated in real-time, you may be held liable.
